Terms of Service

By accessing or using the Nola application and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Services.

These Terms constitute a legally binding agreement between you and Nola. Please read them carefully.

• You must be at least 18 years old to use Nola.
• You must be a resident of a jurisdiction where our Services are available.
• You must not be prohibited from using financial services under applicable laws.
• You are responsible for ensuring your use of Nola complies with all applicable laws and regulations in your jurisdiction.

To use Nola, you must create an account using a valid email address or supported authentication method. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to provide accurate information and to promptly update your account if any information changes. We reserve the right to suspend or terminate accounts that contain inaccurate or misleading information.

Nola provides the following services:

• Wallet — An embedded wallet on the Base network for holding and managing USDC stablecoins. You control it with your passkey; Nola deploys no contracts of its own.
• Savings — Deposits into the Steakhouse Prime USDC vault, a third-party ERC-4626 vault on Base curated by Steakhouse Financial, to earn yield on your holdings. Nola does not own, deploy or upgrade that vault, and every deposit and withdrawal is authorised by you and signed with your passkey.
• Card Spending — A prepaid card facility for spending your USDC balance at merchants, powered by our card issuing partner.
• AI Financial Assistant — An AI-powered chat interface providing financial insights and account management assistance.
• Card Top-Up — When spending brings your card balance below a threshold you configure, Nola asks you to top it up from your savings. Nothing moves until you confirm the request and sign it.

You acknowledge and understand that:

• Digital assets (including USDC) are subject to their own terms and conditions.
• Blockchain transactions are irreversible once confirmed. We cannot reverse or cancel confirmed transactions.
• You are responsible for the security of your account and any authorized transactions.
• Yield rates are variable and not guaranteed. Past performance does not indicate future returns.

Nola may charge fees for certain services. Any applicable fees will be clearly disclosed before you complete a transaction. Blockchain network fees (gas fees) are determined by network conditions and are not controlled by Nola.

We reserve the right to modify our fee structure with reasonable notice to users.

You agree not to use Nola for:

• Any illegal or unauthorized activity
• Fraud, deception, or misrepresentation
• Interfering with or disrupting the Services
• Attempting to gain unauthorized access to any systems or data
• Reverse engineering, decompiling, or disassembling the application
• Using automated systems (bots, scrapers) to access the Services
• Any activity that violates applicable laws or regulations

The Nola application, including its design, code, content, logos, and trademarks, is owned by us and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the application for its intended purpose.

You may not copy, modify, distribute, or create derivative works based on our application without prior written consent.

To the maximum extent permitted by law, Nola and its affiliates, officers, directors, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or digital assets.

Our total liability for any claims arising from or related to the Services shall not exceed the amount of fees you have paid to us in the twelve months preceding the claim.

We do not guarantee uninterrupted or error-free operation of the Services. The Services are provided "as is" and "as available" without warranties of any kind.

You agree to indemnify and hold harmless Nola and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

We may suspend or terminate your access to the Services at any time if we reasonably believe you have violated these Terms, are engaged in prohibited activities, or as required by law.

You may close your account at any time. Upon termination, you will retain access to any digital assets in your wallet, but certain features may no longer be available.

We may update these Terms from time to time. Material changes will be communicated through the app or by email. Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms.

If you do not agree with the modified Terms, you should discontinue use of the Services.

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or the Services shall be resolved through binding arbitration, except where prohibited by law.
